Key responsibilities are:

Support development of ad hoc strategic rationale for acquisitions, divestitures and partnerships with Strategy and BU leaders, including:
Developing and maintaining a detailed working knowledge of customer needs and of the competitive landscape
Acquiring a working knowledge of Legal and Regulatory key products capability, competitive strengths and functional gaps
Performing and coordinating necessary research and analysis activities required to assess strategic impact, risks and opportunities.

Oversee due diligence activities by setting up and leading the due diligence PMO function and managing functional leads and experts (including third parties) in their respective diligence processes, including:
Driving timely progress of entire due diligence process and managing critical path to completion
Scheduling and attending meetings with relevant project participants and experts.
Ensuring project teams have required support and materials to move toward goal achievement.
Identifying and escalating operational issues in a timely manner to the VP, Corporate Development M&A
Actively following up on issues/risks/actions, and maintaining the overall issues and risk registry
Performing miscellaneous job-related duties as assigned.
Conduct detailed discussions with internal business and functional leaders and external company management regarding operational and financial issues, risks and liabilities, integration issues & opportunities and potential synergy benefits of each transaction.

Lead creation of dynamic financial models related to acquisitions, divestitures and partnerships using key performance indicators (KPIs) and other variables as drivers to estimate income statements, cash-flows and balance sheets over a multi-year projection period in partnership with functional experts and business CFOs and leaders, including:
Carefully assessing information gathered in the comprehensive due diligence process to support projections, underlying assumptions and expected synergies.
Stress-testing financial models for various cases, operating scenarios, and sensitivities.
Assist in negotiations of commercial terms, as needed.
Prepare valuation models following the Wolters Kluwer Corporate M&A standards. Key analyses include Return on Invested Capital (ROIC), accretion/dilution analysis, discounted cash flow analysis, and comparable company analysis.
Support development of board presentations and memos
Education:
Bachelor’s degree required. MBA degree is preferred. Certified Public Accountant (CPA) and Chartered Financial Analyst (CFA) credentials are a plus.
Experience:
5+ years' experience of combined experience in investment banking, corporate development / M&A, public accounting (with a focus on financial analysis & due diligence) or venture investing, including hands-on analyst work as well as exposure to corporate executives, founders and board members; individuals with extensive strategy & operations experience in relevant industries and strong business and financial acumen will also be considered.
Minimum 3+ years of financial analysis, /financial modeling experience. Experience with accounting and strategic acumen
Strong and proven project management experience
Exposure to evaluating software businesses with cloud or subscription revenue models, ideally in the Legal and Compliance Tech industries.
Experience in providing detailed and accurate high-level reporting to management and board.
Demonstrated ability to work collaboratively with a wide range of individuals and functions at all levels of the organization.

Compensation:
Target salary range CA, CT, CO, NY, WA:: $136,800-$191,650
